Merger of the two companies' assets was announced in June.
The General Superintendence of the Administrative Council for Economic Defense (CADE) approved on Tuesday (24) the merger of assets between Amil and Dasa, first announced in June.
With this operation, 25 hospitals, six oncology clinics, and six medical clinics from both companies will be controlled by a joint venture owned by both firms, Ímpar Serviços Hospitalares.
These hospitals and clinics are located in São Paulo, Brasília, Niterói, and Rio de Janeiro, comprising a total of 4,400 beds. Among the well-known hospitals are Nove de Julho, Santa Paula, Leforte, Samaritano, and Pró-Cardíaco.
According to a statement published on the CADE’s website, the council’s analysis “indicates the presence of sufficient entry and rivalry elements to rule out the likelihood of market power being exercised by the companies in all relevant markets.”
In June, Dasa stated that the agreement “establishes a new partnership between two significant companies in the sector that operate more comprehensively in healthcare, including the diagnostics and health insurance plan segments.”
The joint venture will start with an annual net revenue of R$10 billion and earnings before interest, taxes, depreciation, and amortization (EBITDA) of R$777 million. It could potentially be listed on the stock exchange in the future.
The transaction also involves transferring a debt of R$3.85 billion from Dasa to the new hospital group.
The healthcare sector has witnessed consolidations in 2024. A month before the announcement from Dasa and Amil, Rede D’Or and Bradesco Seguros also joined forces to create a hospital company.
