Draft Law on Marketplaces Regulation Will be Introduced to Russian State Duma

The document regulates the peculiarities of relations between marketplaces and sellers and owners of points of delivery of orders.

Deputies of the Russian State Duma intend to introduce a bill regulating the specifics of relations between marketplaces and sellers and owners of points of issue of orders. Amendments are being made to the laws "On the Principles of State Regulation of Trade Activities in the Russian Federation" and "On the Protection of Consumer Rights". 

The document emerged after the events of 2022-2023 related to the actions of platform owners against their partners, employees and consumers, which were actively covered in the media and showed the imperfection of the current system of regulation of the e-commerce industry.

  • The bill establishes that contract terms may be revised by agreement between the parties no more than once a year and that the parties must give notice of their intention to change contract terms at least 30 calendar days in advance.
  • It introduces a procedure for imposing fines on counterparties - the mandatory sending of a motivated written notice of the imposition of fines to the seller of goods or the owner of a retail outlet.
  • It establishes a ban on the sale of own goods of marketplaces with a turnover of more than 150 billion rubles, if similar goods are already presented on the marketplace.

As noted by the head of the party "Fair Russia - For Truth" Sergey Mironov, within the monitoring of the digital trade market, conducted by the Ministry of Industry and Trade of Russia, several major problematic issues arising between online platforms and other participants of this market were highlighted. These include the possibility of unilateral changes to contracts by online platforms, unauthorized changes to commissions and penalties for sellers and retail outlets. For this reason, about two thousand sellers of marketplaces have filed lawsuits in arbitration courts in Moscow and the Moscow region.
